1. About Axiom Specialty
Axiom Specialty Inc. ("Axiom," "we," "our," or "us") is a Delaware corporation and licensed Managing General Agent (MGA) headquartered in New York, NY. We operate two distinct products:
Raptor — a B2B SaaS AI risk intelligence platform that monitors AI tool usage within your organization and generates an AI Risk Score
AI Professional Liability Insurance — a standalone Errors & Omissions (E&O) insurance policy for professional services firms that use AI, underwritten by Axiom as MGA
These Terms govern your use of both products. Insurance-specific terms are additionally governed by your policy documents, which take precedence over these Terms in the event of a conflict.
2. Eligibility and Account Registration
To use Raptor or apply for insurance, you must:
Be a legal business entity or an authorized representative of one
Be at least 18 years of age
Provide accurate, complete, and current information during registration
Maintain the security of your account credentials
You are responsible for all activity that occurs under your account. Notify us immediately at support@axiomspecialty.com if you suspect unauthorized access.
3. Raptor - SaaS Platform Terms
3.1 License Subject to your compliance with these Terms and timely payment of applicable fees, Axiom grants you a limited, non-exclusive, non-transferable, revocable license to access and use Raptor for your internal business purposes during the subscription period.
3.2 Workspace Connection Raptor offers optional integration with Google Workspace and Microsoft 365 via read-only OAuth. By connecting your workspace, you authorize Axiom to access the workspace data described in our Privacy Policy solely to provide the Raptor service. You may disconnect at any time through platform settings or your workspace admin console.
You represent that you have the authority to authorize this connection on behalf of your organization and that doing so does not violate any applicable law, regulation, or third-party agreement.
3.3 AI Risk Score The AI Risk Score is an analytical tool for informational purposes only. It does not constitute legal, compliance, or actuarial advice. Axiom makes no warranty that the score is accurate, complete, or suitable for any particular purpose. Do not rely solely on the AI Risk Score to make business, legal, or insurance decisions.
3.4 Acceptable Use You agree not to:
Use Raptor for any unlawful purpose or in violation of any applicable law or regulation
Attempt to reverse engineer, decompile, or extract the source code of Raptor
Resell, sublicense, or provide access to Raptor to third parties without our written consent
Use Raptor to monitor individuals without proper authorization under applicable employment and privacy laws
Attempt to gain unauthorized access to any part of the platform or our infrastructure
Interfere with or disrupt the integrity or performance of the platform
3.5 Subscription, Fees, and Billing Raptor is offered on a subscription basis. Current pricing is available at axiomspecialty.com/pricing. By subscribing, you authorize Axiom to charge your payment method on a recurring basis. All fees are non-refundable except as required by law. We reserve the right to modify pricing with 30 days' notice to existing subscribers.
3.6 Free Trial We may offer a free trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends. No charge will be made during the trial period.
4. AI Professional Liability Insurance
4. AI Professional Liability Insurance
Insurance products are subject to separate policy documents and applicable state insurance regulations. The following section provides general terms only. Your insurance policy documents govern all coverage determinations.
4.1 Nature of Coverage Axiom offers a standalone AI Professional Liability (E&O) insurance policy sold through licensed brokers or embedded within Raptor. Coverage is provided on a claims-made basis.
4.2 Workspace Connection is Optional Connecting your workspace to Raptor is not required to obtain or maintain insurance coverage. It is an optional feature that may result in a premium adjustment based on your demonstrated AI risk posture.
4.3 Accuracy of Information All information provided in connection with an insurance application must be accurate and complete. Material misrepresentation may void coverage. You have an ongoing duty to notify us of material changes to your business that may affect your coverage.
4.4 No Coverage Guarantee Submission of an application does not guarantee coverage. Coverage is subject to underwriting approval. Axiom reserves the right to decline, modify, or cancel coverage in accordance with applicable insurance regulations.
4.5 Reinsurance Axiom operates as a Managing General Agent and may cede risk to reinsurance partners. The identity of reinsurers does not affect your rights under your policy.
5. Ownership and Intellectual Property
Axiom retains all ownership and intellectual property rights in Raptor, including all software, algorithms, scoring models, and documentation. Nothing in these Terms transfers any intellectual property rights to you.
You retain ownership of all data you provide to Axiom. You grant Axiom a limited license to use this data to provide the services described in these Terms. Axiom may use aggregated, anonymized data to improve its products and scoring models.
6. Confidentiality
Each party agrees to keep the other's confidential information confidential and not disclose it to third parties without prior written consent, except as required by law. Axiom's confidential information includes its scoring models, algorithms, and pricing. Yours includes your workspace telemetry and insurance application data.
7. Disclaimer or Warranties
RAPTOR IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AXIOM DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AXIOM'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO AXIOM IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $500.
IN NO EVENT SHALL AXIOM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION.
The limitations above do not apply to death or personal injury caused by Axiom's negligence, fraud, or any liability that cannot be excluded by law.
Indemnification
You agree to defend, indemnify, and hold harmless Axiom and its officers, directors, employees, and agents from any claims, damages, losses, and expenses arising out of: (a) your use of Raptor in violation of these Terms; (b) your violation of any applicable law; (c) your breach of any representation or warranty; or (d) any claim that your use of Raptor violated the rights of a third party.
Term and Termination
These Terms remain in effect for as long as you maintain an account. Upon termination:
Your access to Raptor will cease at the end of the current billing period (or immediately for cause)
We will delete your workspace OAuth tokens immediately
Your data will be retained for 90 days then deleted, except as required by law
Insurance policies are subject to separate cancellation terms in your policy documents
Axiom may suspend or terminate your account immediately if you violate these Terms, fail to pay fees, or engage in conduct that causes harm to Axiom or other users.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New York. Any dispute shall be resolved exclusively in the state or federal courts located in New York County, New York. For insurance-related disputes, applicable state insurance regulations govern the process.
Changed to These Terms
We will notify you of material changes by email at least 30 days before they take effect. Continued use of Raptor after the effective date constitutes acceptance.
Term and Termination
Entire Agreement — These Terms, our Privacy Policy, and any applicable policy documents constitute the entire agreement between you and Axiom
Severability — If any provision is found unenforceable, the remaining provisions continue in full force
Waiver — Failure to enforce any right does not constitute a waiver
Assignment — You may not assign these Terms without Axiom's prior written consent
No Third-Party Beneficiaries — These Terms do not confer rights on any third party
